1. Acceptance of Terms

By placing an order through our website (www.andicrose.com) or by phone, you (“Customer”) agree to be bound by these Terms and Conditions of Sale (“Terms”), which apply to all products (“Product(s)”) sold by Andicrose Wooden Bikes LLC (“Andicrose,” “we,” “our,” or “us”) within the United States. These Terms constitute the entire agreement governing your purchase and supersede any previous agreements or representations.

Applicability of Terms: These Terms apply exclusively to each sale. Any conflicting, additional, or altered terms presented by the Customer, whether in writing or otherwise, are not recognized unless explicitly agreed upon in writing by Andicrose. We may modify these Terms periodically; such updates will take effect upon posting to our website.

Direct Sales to End Customers: Andicrose sells directly to individual consumers for personal use only. Orders intended for resale or other business purposes are prohibited, and Andicrose reserves the right to cancel any order suspected of violating this condition.

2. Orders and Pricing

Order Acceptance: All orders are subject to acceptance by Andicrose. This means that Andicrose may, at its sole discretion, refuse, cancel, or limit any order or order quantity, with or without explanation, even after issuing an order confirmation. A confirmation email only indicates that we have received your order or invoice, not that it has been accepted. If an order is canceled after payment, a full refund will be promptly issued.

Prices: All prices listed on our website are in U.S. Dollars and can exclude applicable taxes and shipping costs. Prices are subject to change without notice, and Andicrose reserves the right to adjust prices, promotions, or discontinue products at any time.

Special Offers: Andicrose may offer limited-time promotions, discounts, or special editions. Such offers may change without prior notice and are subject to availability.

Shipping, Customs, and Additional Costs: Shipping fees are calculated at checkout and added to the total order amount. Customers are responsible for any customs duties, import fees, or additional charges required by their local authorities for international shipments.

3. Shipping and Delivery

Shipping Options and Delivery Timeframes: Andicrose Wooden Bikes LLC (“Andicrose”) offers various shipping options displayed during the checkout process. Shipping options and associated carriers may be updated or changed at any time at Andicrose's discretion. The estimated delivery dates provided are based on good faith estimates but are not guaranteed, as delays can occur due to circumstances beyond our control.

Please note that Andicrose bicycle frames are handcrafted in Brazil, with essential components imported to the United States for final assembly. Due to the complexities of international shipping, customs processes, and carrier-related delays, the timeline may be impacted by factors outside Andicrose’s control. Once assembled, bicycles are shipped to the customer from the United States. Andicrose is not liable for any shipping delays. If your order arrives later than expected and no longer meets your needs, please contact Customer Service or refer to our Return Policy.

Shipping Costs: Shipping and handling charges are displayed at checkout, and by placing an order, you agree to pay these fees. Andicrose reserves the right to adjust shipping fees as needed. Any updates to shipping fees will be clearly displayed at checkout prior to order completion. If you are purchasing outside US mainland, ask an exclusive exportation quote.

Transfer of Risk: Upon delivery, the risk of accidental damage, loss, or destruction transfers to you, the customer. It is your responsibility to inspect the Product for any transport-related damage upon receipt. Should you observe any damage, please document it and contact Andicrose Customer Service immediately. This inspection does not affect your warranty rights but helps ensure any transport issues are resolved with the carrier.

Cosmetic Issues: Any cosmetic issues, such as minor scratches, should be reported at the product receiving and prior to assembly. For visible damage to packaging, document the issue with photos before unpacking. If the damage seems significant, we recommend refusing the delivery and contacting Andicrose support immediately.

Title Transfer: Ownership of the Product transfers to you when (i) payment has been made in full, and (ii) the Product has been handed over to the shipping carrier.

Delivery Issues and Force Majeure: In cases of delays or delivery issues caused by force majeure—such as strikes, supply shortages, or circumstances outside our control—delivery timelines may be adjusted accordingly. If delivery becomes impossible due to such circumstances, Andicrose reserves the right to cancel the order and issue a full refund.

Order Processing: Orders are typically processed and handed over from assembly to our logistics partners within 1-5 business days. For custom or personalized orders, please allow an additional 3-15 business days for processing.

Insurance and Security: All shipments are insured from our warehouse to your doorstep. Deliveries will only be made to the individual named in the order, and proof of age (21 years or older) may be required at delivery.

Assembly After Delivery: To ensure safe transport, some components (such as wheels, seat posts, pedals, and handlebars) may be removed. After receiving your bike, final assembly steps will be required. Andicrose recommends using a trusted local bike shop for professional assembly to ensure optimal setup and a safe riding experience.

Andicrose reserves the right to modify product colors, weights, materials, equipment, specifications, and models at any time without prior notice.

Unique Wood Characteristics: Each Andicrose bicycle frame is handcrafted from natural wood, resulting in a unique color pattern and grain structure for every bike. This individuality cannot be controlled or replicated, and we embrace these natural variations as they enhance the distinct beauty and character of each frame. As we do not alter or selectively choose the wood’s appearance, every Andicrose frame is one-of-a-kind, reflecting the inherent elegance of natural wood.

Component Adjustments for Quality and Availability: Due to market conditions, Andicrose may occasionally need to substitute certain peripheral parts with equivalent-quality components to maintain overall performance standards. This may include adjustments to third-party components, such as the transmission, brakes, or other systems. In such cases, any substitutions will meet or exceed our quality and performance standards, ensuring that your Andicrose bike continues to perform as expected.

Availability and Market Demand: Product availability is subject to change based on market demand, regional availability, and inventory status. Some photos may feature optional accessories or equipment not included with the standard product or unavailable in certain regions. Andicrose reserves the right to discontinue any product or make modifications at any time, ensuring that we continue to deliver high-quality products that meet evolving standards and preferences.

Weight Limit: We follow common international standards for bicycle weight limits. Every Andicrose model is designed for a maximum combined weight limit of 242 lbs (110 kg), which includes the bicycle, rider, and any additional cargo. Although Andicrose incorporates many safety factors, and this weight limit is intended for severe conditions; never overload your bicycle. Under unexpected riding conditions, you may risk injury. Andicrose is not responsible for any fatigue damage or personal injuries if the structure has experienced at least one overload. Stay safe.

7. Wood Care

Wood is a natural material that responds to changes in its environment. Exposure to extreme temperatures, high humidity, or excessively low humidity (below 40%) can impact the wood’s appearance, durability, and integrity. Avoid storing or leaving your Andicrose bike in places with significant temperature fluctuations, near heat sources, or in areas of low or high humidity to prevent potential warping, cracking, or drying.

Humidity and Moisture Management: While sealed with a protective coating, wood remains sensitive to both excess moisture and overly dry conditions:

  • High Humidity: Prolonged exposure to rain, snow, or damp conditions can weaken wood fibers, potentially affecting the protective finish. Always dry the frame thoroughly after exposure to moisture.
  • Low Humidity: Extremely dry environments (humidity below 40%) can cause the wood to shrink or crack. To maintain a balanced environment, avoid storing your bike in areas with very low humidity, such as arid regions or overly dry indoor settings.

Heat and Sunlight Exposure: Direct sunlight and high temperatures can cause the wood to dry out, fade, or crack over time. Avoid leaving your bike in direct sunlight for prolonged periods or in high-heat areas (e.g., near radiators, heaters, or inside vehicles on hot days). Use shaded or indoor storage whenever possible to protect the wood from these conditions.

Regular Inspections and Maintenance: Inspect your Andicrose bike frame regularly for any signs of wear, such as cracks, fading, or dullness in the protective finish. Every few months (or as advised in your maintenance guide), apply a wood-safe polish or oil to maintain the wood’s natural moisture, beauty, and added protection.

Warranty Limitations for Environmental Damage: The Andicrose warranty covers defects in materials and craftsmanship but does not include damage from improper care, such as exposure to extreme weather, excessive or insufficient humidity, or heat beyond normal use conditions. Unauthorized modifications to the frame or finish may also void warranty coverage.

Protective Coating Reapplication: Your Andicrose bike is coated with a protective finish suitable for moderate outdoor conditions. Based on your usage and environmental exposure, periodic reapplication of this coating may be necessary. Andicrose can provide recommendations for sealants and finishes that are compatible with our wood frames.

Storage Recommendations: For long-term storage, keep your bike in a dry, temperature-controlled environment with a humidity level ideally between 40-60%. Indoor storage is preferable, away from windows or areas with temperature fluctuations. If outdoor storage is unavoidable, use a breathable cover to protect the frame from direct sunlight, rain, and extreme temperature changes.

User Acknowledgment: By purchasing and using an Andicrose Wooden Bike, you acknowledge and accept these care requirements as part of your ownership experience. Each bike's wood grain and color are uniquely shaped by nature, and with proper care, your Andicrose bike will retain its natural elegance and remain a lasting part of your cycling adventures.

8. General Use Disclaimer

Cycling carries inherent risks. While Andicrose Wooden Bikes LLC (“Andicrose”) designs bicycles with durability and performance in mind, each user assumes responsibility for their safety and the risks involved in riding. By purchasing and riding an Andicrose bicycle, you acknowledge and accept these risks.

Safety Precautions: Always wear a helmet and use proper lighting when riding in low visibility or at night. Be aware of local laws regarding lights and safety equipment, and comply with any requirements.

Riding Within Limits: Ride within your skill level and the designated limits of your Andicrose bicycle. Exceeding these limits may result in damage or injury. Consult a local professional or Andicrose support if uncertain about your bike’s condition.

Assumption of Responsibility: Andicrose is not liable for damages, injuries, or accidents arising from misuse, neglect, or improper use of our bicycles. In the case of a frame or component malfunction, Andicrose’s liability is limited to repair or replacement under warranty terms.

Product Lifecycle and Maintenance: Andicrose bicycles have a useful product life cycle dependent on materials, construction, maintenance, and usage. Increased frequency and intensity of riding may necessitate more regular inspections and maintenance. Professional inspections are recommended at least annually, especially after a crash or significant impact.

Warning Signs of Wear: Inspect regularly for signs of wear, such as stress fractures, cracks, dents, or squeaks. These signs can indicate impending failure, though some damage may be hidden. Routine maintenance helps prevent accidents and prolongs your bike’s lifecycle.

Never Ride a Damaged Bicycle: Do not ride a bicycle that requires repairs or has damaged parts. A malfunctioning component can compromise the bike's safety, leading to possible injury.

9. California Consumer Privacy Act (CCPA) Compliance

Notice of Right to Opt Out: Like many businesses, Andicrose allows certain third-party advertising partners to place tracking technologies (such as cookies, tags, and pixels) on our website. These technologies help us understand user engagement, analyze site traffic, and improve ad targeting by sharing information on your website activities. Information shared may include Identifiers, Contact Information, Technical Data, and Marketing Preferences, which may then be associated with your browser or device. Under some state privacy laws, this kind of data sharing may be considered a “sale” of information. Outside of this limited sharing, Andicrose does not sell your personal information.

Your Right to Opt Out: The California Consumer Privacy Act of 2018 (“CCPA”) grants California residents the right to opt out of the “sale” of their personal information. To exercise this right, California residents may submit a request using our online opt-out form. If you opt out, you may still see ads, but they will not be personalized based on your online activity. 10. Dispute Resolution and Applicable Law

Binding Arbitration: By purchasing from Andicrose Wooden Bikes LLC (“Andicrose”), you agree that any disputes arising from your purchase or use of our products (“Claim”) will be resolved through binding arbitration, an alternative to a court trial. Arbitration will take place in Orlando, Florida, and will be conducted by a retired Superior Court Judge in accordance with the American Arbitration Association (AAA) Rules. The applicable law will be the laws of the State of Florida, excluding its conflict of laws provisions, or relevant federal law as applicable.

Confidentiality of Proceedings: The parties agree that the arbitration proceeding will be confidential, and all aspects of the proceeding (including pleadings, briefs, submissions, awards, and discovery materials) will not be disclosed beyond the arbitration, except as legally required or permitted by law.

Waiver of Certain Rights: This arbitration agreement limits certain rights, including the right to:

  • Participate in a court trial.
  • Pursue a jury trial.
  • Engage in a class action or representative claim.
  • Engage in discovery outside the scope of AAA Rules.
  • Access certain remedies available in a court of law.

Both parties understand that the arbitration decision is final and binding, and that rights available in a court trial may not be available in arbitration. However, this does not prevent either party from seeking action through federal, state, or local agencies where permitted.

11. Indemnification and Intellectual Property

Indemnification: To the fullest extent allowed by law, you agree to indemnify, defend, and hold harmless Andicrose, its affiliates, officers, agents, employees, and partners from any claims, costs, liabilities, damages, and expenses (including attorney’s fees and costs) arising from:

  • Your breach of these Terms.
  • Your violation of any applicable law or regulation.
  • Any harm resulting from your use of Andicrose products, including misuse or unauthorized modifications.

This indemnity obligation applies to any claims brought by third parties and will survive the termination of your relationship with Andicrose.

Intellectual Property: All content on the Andicrose website, including text, graphics, logos, images, and designs, is owned by Andicrose Wooden Bikes LLC or licensed to us by our content providers. This content is protected under intellectual property laws, including copyright, trademark, and trade dress laws.

You may not copy, distribute, reproduce, republish, upload, or transmit any product or content from our company without Andicrose’s prior written permission. Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will continue to be in full force and effect. The invalid provision will be modified as necessary to reflect the intent of the parties to the maximum extent permitted by law, while ensuring the Terms remain fully operational.
